Ankara B\u00fcy\u00fck\u015fehir Belediye Ba\u015fkan\u0131 Mansur Yava\u015f&#8217;\u0131n Halk Ekmek Y\u00f6netim Kurulu&#8217;na atad\u0131\u011f\u0131 isimler, bu genelgeye dayanarak Ticaret Sicili M\u00fcd\u00fcrl\u00fc\u011f\u00fc taraf\u0131ndan onaylanmad\u0131. <\/p>\n\n\n\n<p>\u00c7evre ve \u015eehircilik Bakanl\u0131\u011f\u0131, 5393 say\u0131l\u0131 Belediyeler Kanunu&#8217;nun 37. maddesinde yer alan \u201cBelediye ba\u015fkan\u0131, belediye idaresinin ba\u015f\u0131 ve belediye t\u00fczel ki\u015fili\u011finin temsilcisidir\u201d h\u00fckm\u00fcn\u00fc de g\u00f6z ard\u0131 ederek,  <br \/>kanunun \u015firketlerin kurulmas\u0131, sermaye art\u0131r\u0131m\u0131, bor\u00e7lanmas\u0131, genel kurula gidilmesi, \u015firketlerin kapanmas\u0131 ya da \u00f6zelle\u015ftirilmesi gibi konularda meclisin yetkili olmas\u0131n\u0131 belirterek, \u201cMadem ki meclis bunlara yetkilidir o halde bu \u015firketlere y\u00f6netici atamalar\u0131n\u0131 da meclis yapmal\u0131d\u0131r\u201d  \u015feklinde yorumda bulunuyor.<\/p>\n\n\n\n<p>Uluslararas\u0131 ba\u011f\u0131ms\u0131z denetim \u015firketi \u0130HY Ba\u011f\u0131ms\u0131z Denetim ve YMM A.\u015e&#8217;nin Y\u00f6netim Kurulu Ba\u015fkan\u0131 ve T\u00dcRMOB Disiplin Kurulu Ba\u015fkan\u0131 \u0130rfan H\u00fcseyin Y\u0131ld\u0131z,\u00a0 bug\u00fcne kadar belediye ba\u015fkanlar\u0131nda olan belediye \u015firketi ve i\u015ftiraklerine y\u00f6netici atama yetkisinin ba\u015fkanl\u0131k makam\u0131ndan al\u0131n\u0131p belediye meclisine vermesine y\u00f6nelik genelgenin &#8216;yok h\u00fckm\u00fcnde&#8217; oldu\u011funu belirterek;<\/p>\n\n\n\n<p>\u201cNe olduysa y\u0131llard\u0131r s\u00fcren bir kanuni uygulamaya, Ticaret Bakanl\u0131\u011f\u0131, \u0130\u00e7 Ticaret Genel M\u00fcd\u00fcrl\u00fc\u011f\u00fc&#8217;n\u00fcn, ticaret sicil m\u00fcd\u00fcrl\u00fcklerine g\u00f6nderdi\u011fi bir yaz\u0131 ile engel konulmu\u015ftur. G\u00f6nderilen bu yaz\u0131 da \u00c7evre \u015eehircilik Bakanl\u0131\u011f\u0131, Yerel Y\u00f6netimler Genel M\u00fcd\u00fcrl\u00fc\u011f\u00fc&#8217;nden al\u0131nan bir g\u00f6r\u00fc\u015fe dayand\u0131r\u0131lm\u0131\u015ft\u0131r. Olu\u015fturulan bu g\u00f6r\u00fc\u015fe g\u00f6re \u00f6zet olarak; 5393 Say\u0131l\u0131 Belediye Kanunu&#8217;ndaki belediye meclisinin g\u00f6revleri say\u0131larak, belediye meclisi bunlar\u0131 yapmakla g\u00f6revli oldu\u011funa g\u00f6re, belediye \u015firketlerindeki, belediye t\u00fczel ki\u015fili\u011finin pay\u0131n\u0131 temsil etme ve belediye t\u00fczel ki\u015fili\u011fi ad\u0131na \u015firket y\u00f6netim kuruluna se\u00e7ilecek y\u00f6netim kurulu \u00fcyelerini belirleme yetkisi de, \u2018belediye meclisine aittir&#8217; denmektedir. Ticaret Sicil Memurluklar\u0131na da, bu konuda al\u0131nan bir belediye meclisi karar\u0131 yoksa, getirilen belediye \u015firketlerinin genel kurul kararlar\u0131n\u0131 tescil etme denmektedir. Oysa, Ticaret Bakanl\u0131\u011f\u0131&#8217;n\u0131n dayand\u0131\u011f\u0131 g\u00f6r\u00fc\u015f\u00fcn hukuki dayana\u011f\u0131 bulunmamaktad\u0131r. \u015e\u00f6yle ki, 5393 Say\u0131l\u0131 Belediye Kanunu&#8217;nun 18 maddesinde, belediye meclisinin g\u00f6revleri ve yetkileri tek tek say\u0131lm\u0131\u015ft\u0131r. Bunlar (a) dan (u) ya kadar s\u0131ralanan 18 bentte ayr\u0131nt\u0131l\u0131 a\u00e7\u0131klanm\u0131\u015ft\u0131r. Elbette belediye meclisinin, b\u00fct\u00e7eye ili\u015fkin, belediyenin gelir ve giderlerine ili\u015fkin mali konulardaki g\u00f6rev yetkileri bulunmaktad\u0131r. \u00d6zellikle (i) bendi konumuzla ilgili olarak \u015fu h\u00fck\u00fcm mevcuttur: \u2018B\u00fct\u00e7e i\u00e7i i\u015fletme ile 6762 say\u0131l\u0131 T\u00fcrk Ticaret Kanunu&#8217;na tabi ortakl\u0131klar kurulmas\u0131na veya bu ortakl\u0131klardan ayr\u0131lmaya, sermaye art\u0131\u015f\u0131na ve gayrimenkul yat\u0131r\u0131m ortakl\u0131\u011f\u0131 kurulmas\u0131na karar vermek&#8217; g\u00f6revi vard\u0131r. Ancak kanunun hi\u00e7bir yerinde ve benzeri g\u00f6revleri vard\u0131r denmemektedir. Belediye meclisinin g\u00f6rev ve yetkileri ismen ve ayr\u0131nt\u0131l\u0131 olarak say\u0131lm\u0131\u015ft\u0131r. \u00d6rne\u011fin (n) bendinde, \u201cmeydan, cadde, sokak, park, tesis ve benzerlerine ad vermek\u2026\u201d yetkisi gibi ayr\u0131nt\u0131lara kadar bile inilmi\u015ftir. Ancak hi\u00e7bir yerinde belediye \u015firketlerindeki, belediye t\u00fczel ki\u015fili\u011fine ait paylar\u0131 kimin temsil edece\u011fi, bu \u015firketlerde belediye t\u00fczel ki\u015fili\u011fi ad\u0131na y\u00f6netim kurullar\u0131na kimin se\u00e7ilece\u011fi hususlar\u0131, (Bu \u015firket genel kurulunda belirlenir) belediye meclislerinin g\u00f6rev ve yetkileri aras\u0131nda say\u0131lmam\u0131\u015ft\u0131r.<\/p>\n\n\n\n<p>Belediye \u015firketlerinin kurulu\u015f, ortak olma ve sermaye art\u0131r\u0131m\u0131 konular\u0131nda izin alma d\u0131\u015f\u0131nda T\u00fcrk Ticaret Kanunu h\u00fck\u00fcmlerine tabi olduklar\u0131 tart\u0131\u015fmas\u0131zd\u0131r. Peki, bu ortakl\u0131k pay\u0131n\u0131, belediye \u015firketlerinin genel kurullar\u0131nda kim temsil edecektir. 5393 say\u0131l\u0131 Belediye Kanunu&#8217;nun 37 maddesi, \u201cBelediye ba\u015fkan\u0131, belediye idaresinin ba\u015f\u0131 ve belediye t\u00fczel ki\u015fili\u011finin temsilcisidir&#8217; h\u00fckm\u00fcne amirdir. Y\u0131llard\u0131r, kanunun \u00f6ng\u00f6rd\u00fc\u011f\u00fc \u015fekilde belediye \u015firketlerinin genel kurullar\u0131nda, belediye t\u00fczel ki\u015fili\u011fini belediye ba\u015fkanlar\u0131 temsil etmi\u015f ve oy kullanm\u0131\u015flard\u0131r. Belediye \u015firketlerindeki pay sahibi, belediye t\u00fczel ki\u015fili\u011fidir, belediye t\u00fczel ki\u015fili\u011finin temsilcisi de belediye ba\u015fkan\u0131d\u0131r. Olduk\u00e7a a\u00e7\u0131k olan bu hukuki durumun yorum gerektiren bir yan\u0131 bulunmamaktad\u0131r.<\/p>\n\n\n\n<p>Sonu\u00e7 olarak, belediye ba\u015fkanl\u0131\u011f\u0131 se\u00e7imini kazanan ba\u015fkan\u0131n\u0131n, mecliste \u00e7o\u011funlu\u011fu yoksa elleri, kollar\u0131 ve ayaklar\u0131 ba\u011flanmak istenmektedir. Hukuki dayana\u011f\u0131 olmayan bu yaz\u0131y\u0131 ticaret sicil memurluklar\u0131n\u0131n dikkate almamas\u0131 gerekir. E\u011fer, sicil memurluklar\u0131 bu talimata uygun olarak belediye \u015firketlerinin genel kurullar\u0131n\u0131 tescil etmezlerse, buna kar\u015f\u0131, ticaret mahkemelerinde tescil davas\u0131 a\u00e7\u0131lmas\u0131 ka\u00e7\u0131n\u0131lmaz olur.
